Welcome to PactlyApp ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, https://pactlyapp.com, and our AI-powered contract analysis tool (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

PactlyApp provides an educational tool that uses artificial intelligence to scan and analyze freelance contracts and other documents. The Service is designed to identify potential risks, highlight key clauses, and provide insights based on industry best practices. The analysis is for informational and educational purposes only and does not constitute legal advice. New users receive 3 free contract analyses, and additional analyses require a paid PRO subscription.

3. Subscription and Billing

PactlyApp operates on a freemium model:

  • Free Plan: New users receive 3 free contract analyses upon registration.
  • PRO Subscription: Unlimited contract analyses for $10 per month, billed through Stripe.
  • Billing: Subscriptions are billed monthly and automatically renew unless cancelled.
  • Cancellation: You may cancel your subscription at any time through your account dashboard.
  • Refunds: We offer a 30-day money-back guarantee for PRO subscriptions.

4. User Accounts

To access certain features of the Service, you may be required to register for an account through our Clerk authentication service. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use Policy

You agree not to misuse the Service or help anyone else to do so. You agree not to engage in any of the following prohibited activities:

  • Uploading or sharing content that is illegal, defamatory, malicious, or discriminatory.
  • Probing, scanning, or testing the vulnerability of any system or network.
  • Breaching or otherwise circumventing any security or authentication measures.
  • Attempting to reverse-engineer, decompile, or discover the source code of the Service.
  • Using the service for any illegal purpose or in violation of any local, state, national, or international law.
  • Infringing on our intellectual property rights or the intellectual property rights of others.
  • Uploading documents that you do not have the legal right to analyze or share.
  • Attempting to circumvent usage limits or subscription requirements.

6. Document Handling and Privacy

Your privacy and document security are paramount to us:

  • Automatic Deletion: All uploaded contracts are automatically deleted from our servers within 24 hours of analysis.
  • No AI Training: Your documents are never used to train our AI models.
  • Encryption: All documents are encrypted both in transit and at rest.
  • Limited Access: Only authorized systems process your documents for analysis purposes.

7. Intellectual Property Rights

The Service and all its original content, including but not limited to the PactlyApp name, logo, visual design, and all text on the website (excluding user-uploaded content), are the exclusive property of PactlyApp and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain all rights to the documents you upload.

8. Termination

You are free to stop using our Service at any time. We reserve the right to suspend or terminate your access to the Service at our discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users of the Service, us, or third parties. Upon termination, your right to use the Service will cease immediately.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your own risk. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy, completeness, or reliability of the Service's analysis.

10. Limitation of Liability and Disclaimer of Legal Advice

This is a critical component of our terms. You expressly understand and agree to the following:

  • PactlyApp is not a law firm. The Service does not provide legal advice, and no attorney-client relationship is formed by your use of the Service.
  • The analysis provided by our AI is for informational and educational purposes only. It is not a substitute for advice from a qualified legal professional who can review the specific details of your situation.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
